These terms are the agreement between you and Ebbli Software Services LLC, doing business as Ebbli (“we”, “us”) about using the Tidra app. By installing or using Tidra you agree to them. If you don’t agree, please don’t use the app. Our Privacy Policy and Consumer Health Data Privacy Policy explain how your information is handled and are part of these terms.
PLEASE READ SECTION 15 CAREFULLY. IT REQUIRES MOST DISPUTES BETWEEN YOU AND US TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, NOT IN COURT, AND IT WAIVES CLASS ACTIONS AND JURY TRIALS. YOU CAN OPT OUT OF ARBITRATION WITHIN 30 DAYS, AS EXPLAINED IN SECTION 15.
Tidra is a weight tracker that shows your progress through the trend rather than the day-to-day noise. It is a tool for keeping and understanding your own records. It is not medical care.
You must be at least 18 years old (or the age of majority where you live, if that is higher) to use Tidra. You may use Tidra wherever it is made available to you in your app store; we are based in the United States, and some of these terms (such as sections 14 and 15) are written with that in mind. You are responsible for keeping your phone and your accounts (such as your Google account) secure.
Tidra is not a medical device and does not diagnose, treat, cure or prevent any medical condition. Its charts, trends, estimates, forecasts, milestone dates, BMI figure and messages are general information for personal tracking. They are not medical advice, diagnosis or treatment, and they are estimates that can be wrong, especially with little data. Weight naturally varies from day to day and over time.
BMI is a rough population-level guide and doesn’t fit everyone; Tidra shows a gentle note when a goal falls below the usual healthy range, but it does not stop you setting one. Talk to a doctor or other qualified health professional before starting or changing a diet, exercise or weight-loss plan, and about any health concern. If tracking your weight makes you anxious, or you think you may be struggling with disordered eating, please stop using the app for a while and reach out to a health professional or a support service in your country. Tidra’s pace warnings are a nudge, not a safety guarantee. Never ignore professional advice because of something you saw in Tidra. If you think you may have a medical emergency, call 911 or your doctor right away.
Your weigh-ins, notes, goals and settings are yours. We claim no ownership over them. Tidra keeps them on your device, and, only if you turn on backup, in your own Google Drive as described in the Privacy Policy. Because we do not hold a copy, we cannot recover your data if you lose it. Please use backup, or Export as CSV, to keep a copy you trust. If you delete the app or your data without a backup, it is gone.
You give us no license to your data. We only handle it, on your device, to run the features you use.
Most of Tidra is free, with no ads. Tidra Plus adds extra features, which currently include the month-by-month forecast and milestone dates, custom milestones, automatic backup and syncing between devices, and the full set of widgets. Features, and what is free or Plus, may change over time; if something you already have in Plus is later moved or removed, we will tell you and, where required by law or by the store, give you a fair remedy.
Please don’t misuse Tidra: no reverse engineering, copying, or changing the app beyond what the law allows, no trying to break its security or the app lock of someone else’s device, no using it to break the law, and no using it to harm others. Don’t remove or hide notices, or resell the app.
Tidra works with services we don’t control: Google Drive (for backup), Android’s Health Connect, Google Play and the App Store (purchases), and your phone’s operating system. They have their own terms and privacy policies, they can change or be unavailable, and we are not responsible for them. For example, if you have no Google Play services, backup and purchases will not be available. You must also follow any third-party terms that apply when you use Tidra, such as your mobile carrier’s.
Tidra, its name, logo, design, text and code belong to us or our licensors. We give you a personal, non-exclusive, non-transferable, revocable license to install and use it on devices you own or control, under these terms. Nothing here transfers any ownership to you.
If you send us feedback or ideas (for example to ideas@tidra.fit), we may use them without owing you anything, but we won’t use your personal data from them for anything else.
If you downloaded Tidra from the App Store, these extra terms apply and take priority over anything else in these terms that conflicts with them:
We may update Tidra, add or remove features, or stop offering it, and we try to give reasonable notice of changes that matter. We aim to keep Tidra running well, but we do not promise it will always be available or free of errors. You can stop using Tidra any time by uninstalling it (and cancelling any subscription). We may suspend or end your access if you seriously or repeatedly break these terms.
TO THE FULLEST EXTENT THE LAW ALLOWS, TIDRA IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT TIDRA, ITS ESTIMATES OR ITS FORECASTS WILL BE ACCURATE, COMPLETE, RELIABLE, UNINTERRUPTED, SECURE OR ERROR-FREE.
Some states do not allow the exclusion of implied warranties, so some of this section may not apply to you.
TO THE FULLEST EXTENT THE LAW ALLOWS, WE (AND OUR MEMBERS, MANAGERS, EMPLOYEES AND CONTRACTORS) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS OR GOODWILL, OR FOR LOSSES ARISING FROM YOUR RELIANCE ON ESTIMATES, FORECASTS OR MESSAGES IN THE APP, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO TIDRA OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID FOR TIDRA PLUS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US$50.
These limits apply to every kind of claim, whether in contract, tort (including negligence), strict liability or otherwise. Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, for gross negligence or willful misconduct, or for death or personal injury caused by negligence where the law does not allow it to be limited, or any rights you have as a consumer that cannot be waived. Some states do not allow some of these limits, so they may not apply to you.
To the extent the law allows, you agree to defend and reimburse us for third-party claims, and the reasonable costs of dealing with them (including reasonable attorneys’ fees), that arise from your breach of these terms or your misuse of Tidra. This does not apply to claims caused by our own breach of these terms, negligence or misconduct. We will tell you promptly about any such claim and let you take part in the defense.
These terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-law rules, except that the Federal Arbitration Act governs section 15. If you live in another state or country, you also keep the protection of any consumer laws where you live that cannot be waived by contract, including the right to the mandatory consumer protections of your country of residence.
Any dispute that is not arbitrated under section 15 (including if you opt out) will be heard only in the state or federal courts located in Virginia, and you and we consent to their jurisdiction, except that either of us may bring an individual claim in small claims court in the county where you live. If you are a consumer living in the European Economic Area, the United Kingdom, Switzerland or another place where the law gives you the right to bring a claim in your home courts, nothing in these terms takes that right away: you may bring a claim in the courts of the country where you live, and those courts’ consumer laws apply to you as the law requires.
If you live outside the United States. This section does not apply to you if the law of the country where you live does not allow a consumer to agree to arbitration or to give up class or collective actions in advance, as is the case for consumers in the European Economic Area and the United Kingdom. In that case disputes go to the courts described in section 14, and the rest of these terms still apply. You may also use any online dispute resolution or consumer complaint body available to you.
Talk to us first. Before starting arbitration or a court case, please email support@tidra.fit with your name, a description of the problem and what you would like us to do. You and we will try in good faith to resolve it for at least 60 days. Deadlines for bringing a claim are paused during that time.
Agreement to arbitrate. If we can’t resolve it, you and we agree that any dispute, claim or controversy arising out of or relating to Tidra or these terms (including whether this section applies) will be resolved by binding individual arbitration, not in court. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect (available at adr.org), by a single arbitrator. It will take place by video or phone, or in person in the county where you live if you prefer or the arbitrator decides that is needed. Fees are paid as the AAA’s Consumer Arbitration Rules provide; for a claim of US$10,000 or less that is not frivolous, we will pay any filing, administrative and arbitrator fees beyond what you would pay to file in court. The arbitrator may award the same individual relief a court could, but only for you individually and only as far as needed for your individual claim.
Exceptions. Either of us may instead bring an individual claim in small claims court if it qualifies. Either of us may ask a court for an order to stop infringement or misuse of intellectual property. Nothing in this section prevents you from reporting a concern to a government agency, or from seeking public injunctive relief in court where the law does not allow that right to be waived; any such request will wait until the individual arbitration of your other claims is finished.
CLASS ACTION AND JURY TRIAL WAIVER. YOU AND WE EACH AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL. The arbitrator may not combine more than one person’s claims, or preside over any class or representative proceeding.
Many similar claims. If 25 or more similar demands for arbitration are filed against us by or with the help of the same or coordinated counsel, the AAA’s Mass Arbitration Supplementary Rules will apply, and the demands may be administered in batches.
30-day opt-out. You can opt out of this agreement to arbitrate by emailing support@tidra.fit within 30 days after you first agree to these terms, with your name and a clear statement that you want to opt out of arbitration. Opting out does not affect any other part of these terms.
Changes to this section. If we change this section, we will tell you at least 30 days before the change takes effect, and you may reject the change by emailing support@tidra.fit before then. A change never applies to a claim already notified to the other side.
If part of this section can’t be enforced. If the class action waiver is found unenforceable for a particular claim, that claim (and only that claim) will be heard in court under section 14, not in arbitration. If any other part of this section is found unenforceable, the rest still applies.
We may update these terms. If a change is significant, we will tell you in the app or on the store page before it takes effect, and we may ask you to agree to the new terms in the app. If you keep using Tidra after the change takes effect, you accept the new terms; if you don’t agree, you can stop using Tidra and cancel any subscription. Changes do not apply to disputes that arose before the change.
